For an eligible Corporate entity, below are the general requirements which are subject to further document requests upon initial submission:
Note: The documents referred to below must be provided as certified “true copies” by a suitable person, such as a lawyer, a notary public, a certified accountant, or a member of the judiciary. Self-certification is not allowed. Documents or information which can be accessed using a public register are not required to be certified. Kindly ensure the certification is dated as well.
1. Certificate of incorporation, business registration or equivalent, and certificate of change of name (if applicable)
2. Memorandum and articles of association.
3. Register of directors and Register of Shareholders / Members, or Letter from a lawyer/accountant/company secretary to confirm the names of directors.
4. Authorized signature list with specimen signatures of such other natural persons authorized to act on behalf of the entity or a form of a notarized incumbency certificate for the entity.
5. Valid passport or a national identity card with photograph, name, date of birth and nationality, and name change document (if applicable) of the following individuals:
(i) All directors
(ii) Each beneficial owner owning or controlling 20% or more interest or with direct control over the entity
(iii) All authorized signatories that are authorized to transact on behalf of the entity
6a. Proof of residential address and current correspondence address (if different),e.g., copy of utility bill or telephone bill, bank statement, or correspondence from a government agency. Must be less than 3 months old from the date of issue and display the full name. (P.O. Box mailing addresses are not acceptable) of the following individuals:
(i) All directors
(ii) Each beneficial owner owning or controlling 20% or more interest or with direct control over the entity
(iii) All authorized signatories that are authorized to transact on behalf of the entity
6b. Proof of Address (Registered and Operating) of Company
(i) In the event that the Operating Address is the same as the Registered Address, to get a written confirmation from any Director or Company Secretary to confirm the same.
(ii) In the event that the Operating Address is not the same as the Registered Address, to get the address proof of the Operating Address in addition to the Registered Address (this is to be a certified true copy) e.g., a copy of utility bill or telephone bill, bank statement or correspondence from a government agency.
6c. Tax Identification Information (Please note this is only the information / no proof required)
(i) Tax Identification and Domicile of the Company
(ii) Tax Identification and Domicile of all Directors
7. Signed board resolution to make the investment and conferring authority on those signing under instructions/Power of attorney. - Click here for a generic board resolution format for reference, which should be used solely as guidance.
8. Most recent audited balance sheet or unaudited if audited financial statements are not required to be prepared regularly; or financial statements obtained from reliable government or government-approved commercial database or website (e.g. ACRA).
9. Organization chart (showing ownership and control structure), signed off by a Director
10. Information on the source of funds and source of wealth for investment.
11. W8 BEN-E (https://www.irs.gov/pub/irs-pdf/fw8bene.pdf) signed by authorized signatory.

*Operational Company refers to a Company that has a bona fide business that generates revenue, income, and expected profits that are not from the proceeds of investment or investment-related activity. Operational Companies may have retained earnings in excess of shareholder and business requirements and may correspondingly decide to establish a relationship with Kristal to manage such monies and/or investments.
13. Proof of Accredited Investor, if any
ACCREDITED INVESTOR (“AI”) :
- A corporation with net assets exceeding S$10 million in value (or its equivalent in a foreign currency) or such other amount as the MAS may prescribe, in place of the first amount****; OR
- Entire share capital is owned by one or more persons, each of whom is an AI - Click here for criteria of individual AI.
****as determined by –
(a) the most recent audited balance sheet of the corporation; or
(b) where the corporation is not required to prepare audited accounts regularly, a balance sheet of the corporation certified by the corporation as giving a true and fair view of the state of affairs of the corporation as of the date of the balance sheet, which date shall be within the preceding 12 months.
